Terms & Conditions

Last updated: September 1, 2026

Here is a comprehensive, enterprise-grade set of Terms of Service (Terms & Conditions) updated specifically for HyperLogics InfoTech. It is formatted using clean, standard rich-text formatting (using H3 for section titles, bold sub-items, and bullet points) so you can paste it directly into your admin text editor while shielding your firm from legal liability, scope creep, unpaid invoices, and third-party platform failures.

At HyperLogics InfoTech, we provide high-performance software engineering, cloud architecture, and technical consulting solutions. These Terms of Service ("Terms") govern your access to and use of our website, software development services, client portals, APIs, and consulting solutions. By accessing our platform, executing a Statement of Work (SOW), or utilizing our engineering services, you agree to be bound by these Terms.

1. Scope of Agreement & Engagement Model

  • Master Framework: These Terms govern all engagements between HyperLogics InfoTech ("Company," "we," "us," or "our") and the client or entity ("Client," "you," or "your").

  • Statements of Work (SOW): Specific project scope boundaries, timelines, deliverables, technical stacks, acceptance criteria, and fee structures will be detailed in individual Statements of Work (SOW) or Master Services Agreements (MSA). In the event of a conflict between an executed SOW and these Terms, the provisions of the executed SOW shall prevail.

  • Independent Contractor Status: HyperLogics InfoTech operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

2. Intellectual Property Rights & Licensing

  • Client Custom Deliverables: Upon full, final, and cleared payment of all outstanding fees, the Client receives full ownership rights to custom source code, assets, and design deliverables specifically created for the project under an executed SOW.

  • Background IP & Reusable Assets: HyperLogics InfoTech retains all rights, title, and interest in its pre-existing intellectual property, internal developer libraries, foundational frameworks, design patterns, reusable utility code, and general software architecture methods ("Background IP"). We grant the Client a perpetual, royalty-free, non-exclusive license to use any Background IP embedded within the Deliverables solely for operating the deliverable software.

  • Third-Party & Open-Source Components: Deliverables may incorporate open-source libraries or third-party components governed by their respective licenses (e.g., MIT, Apache 2.0). HyperLogics InfoTech shall not be held liable for restrictions or changes imposed by third-party software licensors.

  • Portfolio & Promotional Rights: Unless explicitly restricted under an executed Non-Disclosure Agreement (NDA), HyperLogics InfoTech reserves the right to showcase completed non-confidential project summaries, design concepts, and client logos in our portfolio, case studies, and marketing materials.

3. Payment Terms, Invoicing & Financial Safeguards

  • Invoicing Schedule: Invoices are issued in accordance with the milestone or recurring schedule outlined in the applicable SOW.

  • Payment Due Dates & Late Fees: Invoices are due within the payment window specified in the SOW (defaulting to Net 15 days from the invoice date). Unpaid invoices beyond the due date accrue late interest at the rate of 1.5% per month (or the maximum permitted by applicable law) until fully settled.

  • Suspension of Services: If an invoice remains unpaid past the due date, HyperLogics InfoTech reserves the right to temporarily suspend active development, hold code deployments, restrict access to staging environments, and pause sprint allocations without liability until accounts are brought current.

  • No Refunds: All payments made toward completed milestones, sprint allocations, or retainers are strictly non-refundable once milestone deliverables have been reviewed, approved, or deployed to staging/production environments.

4. Client Obligations, Dependencies & Scope Management

  • Timely Provisioning of Assets: The Client agrees to provide prompt access to technical documentation, design assets, third-party API keys, cloud infrastructure credentials, and designated point-of-contact availability required for project execution.

  • Client Delay Impact: Deadlines specified in an SOW depend directly on timely Client feedback and approvals. Delays caused by late client approvals, missing access credentials, or changing business requirements will automatically extend milestone timelines day-for-day and may incur idle resource charges.

  • Scope Creep & Change Request Protocol: Any feature requests, architectural changes, or revisions outside the explicitly defined scope in an active SOW must be submitted in writing. Approved changes will be executed through a formal Change Request (CR) order, outlining additional costs and timeline adjustments.

5. Service Availability, Third-Party Infrastructure & APIs

  • Third-Party Hosting Exclusions: While we build applications following strict reliability principles, HyperLogics InfoTech does not host infrastructure directly and guarantees no uptime SLAs for third-party hosting providers, cloud vendors, or infrastructure platforms (e.g., AWS, Supabase, Vercel, Firebase, Google Cloud, GitHub).

  • External API & Service Dependencies: We are not liable for operational failures, service deprecations, rate-limiting, schema changes, pricing adjustments, or downtime caused by third-party APIs, SDKs, or external software services integrated into the deliverables.

6. Warranty Limitations & Bug-Fix Period

  • Standard 30-Day Bug-Fix Window: Following final delivery or production launch, HyperLogics InfoTech provides a standard 30-day warranty window during which we will fix, at no extra cost, verified bugs or defects that fail to comply with the written specifications in the SOW.

  • Warranty Exclusions: The standard warranty excludes bugs caused by client modifications to the source code, unauthorized third-party interference, environment changes, browser/OS updates released after project completion, or misuse.

  • Disclaimer of Implied Warranties: Except as explicitly provided herein, all deliverables and services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability & Risk Allocation

  • Cap on Liability: To the maximum extent permitted by applicable law, the total aggregate liability of HyperLogics InfoTech arising out of or related to these Terms or any service engagement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees actually paid by the Client to HyperLogics InfoTech under the specific SOW during the three (3) months preceding the incident giving rise to liability.

  • Consequential Damages Waiver: In no event shall HyperLogics InfoTech be liable for any indirect, incidental, special, consequential, cover, or punitive damages, including loss of profits, lost revenue, lost data, business interruption, system failure, or loss of goodwill, regardless of whether we were advised of the possibility of such damages.

8. Indemnification

  • Client Indemnification: The Client agrees to defend, indemnify, and hold harmless HyperLogics InfoTech, its officers, employees, and contractors from and against any third-party claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:

    • Client-supplied content, data, specifications, or assets that infringe on any third-party copyright, patent, or intellectual property right.

    • The Client's illegal or unauthorized use of the delivered software solutions.

    • Breach of applicable data protection or industry regulations by the Client.

9. Engagement Termination & Suspension

  • Termination for Convenience: Either party may terminate an ongoing engagement by providing 30 days' written notice as specified in the applicable service agreement.

  • Termination for Cause: Either party may terminate an engagement immediately upon written notice if the other party breaches a material term of these Terms or the SOW and fails to cure such breach within 14 days of receiving written notice.

  • Post-Termination Settlement: Upon termination for any reason, the Client remains immediately obligated to pay for all work completed, hours logged, and uncancelled expenses incurred up to the effective date of termination. Upon full settlement, HyperLogics InfoTech will transfer all completed work product to the Client.

10. Governing Law & Dispute Resolution

  • Jurisdiction: These Terms and all service contracts shall be governed by, interpreted, and construed in accordance with the laws of India, without regard to conflict of law rules.

  • Amicable Resolution & Arbitration: In the event of any controversy, claim, or dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the matter in good faith through direct executive negotiations. If unresolved within 30 days, the dispute shall be referred to and finally resolved through binding arbitration in accordance with applicable Indian arbitration laws, with proceedings conducted in the English language.
